ALCTS webinar: Legal Issues in Licensing Electronic Resources

All webinars are one hour in length and begin at 11 AM Pacific, noon
Mountain, 1 PM Central, and 2 PM Eastern time.

During this six-part webinar series, attendees will learn the fundamental
structure of contracts, commonly used terms, and how to address
indemnification clauses, constraints on use permissions, problems of legal
jurisdiction, perpetual access rights, and some more recent developments
such as the pursuit of text and data mining rights. Contributors will also
explore some complex legal issues and other aspects of electronic resources
management including how to maintain positive working relationships with
vendors, track important changes in business models and technologies, and
control costs. Above all, attendees should understand how licensing does
not occur in a vacuum, but must be well grounded in a complex chain of
information exchange within and beyond the library, all of which should be
undertaken to support the library’s mission as understood and implemented
by the library administration.

Description: Legal Issues in Licensing Electronic Resources provides a
review of the structure and significance of language in license agreements
with a discussion of the most important provisions and requirements for
libraries. Pitfalls to avoid. Provisions from a variety of licenses are
provided as examples and were applicable suggestions for alternative
language is suggested.

Learning outcomes:

Attendees should learn more about the difference between covenants and
conditions, the most important provisions of concern in license language,
legal risk-shifting and restrictions, clauses that every license agreement
should include, as well as ongoing monitoring and other obligations.

Who should attend?

All those interested in licensing electronic resources may benefit from a
review of the most important elements in license agreements, top ten
provisions of concern, legal risk-shifting, other restrictions, must have
clauses, monitoring and obligations.

Presenter:

Tomas A. Lipinski is the Dean of the School of Information Studies at the
University of Wisconsin Milwaukee. He holds the Juris Doctor, Master of
Laws, and Ph.D. A lawyer and librarian, he teaches and writes on the legal
issues affecting information organizations.  In 2006 he was the first named
Global Law Fellow, Faculty of Law, Katholieke Universiteit Leuven, Belgium
where continues to lecture annually at its Centre for IT & IP Law. The
Librarian’s Legal Companion for Licensing Information Resources and Services
was published by Neal Schuman/ALA editions in 2012.
